The bout was ended in the 11th round after an accidental clash of heads opened a gash over Dawson's right eye.
That left the judges to decide the result, with Pascal, whose only defeat came against Britain's Carl Froch, winning 108-101, 106-103 and 106-103.
"I knew with my speed in the ring I could beat Chad Dawson," said the Haitian-born Pascal.
"I was not tired. I knew Chad was tired. I thought 'Let him throw punches and I will get him at the end of the rounds'."
Lucian Bute, the IBF super-middleweight title holder, one weight division below, is being reportedly being lined up as Pascal's next opponent.
"I was on the way to stopping him and he knew that," Dawson said. "Before they stopped the fight, I had him hurt. We had two more rounds to fight.
"I've got a rematch clause so we're going to do it again. We've got to do it again."
Meanwhile, WBA bantamweight champion Anselmo Moreno claimed another tight decision over Nehomar Cermeno in Panama City.
Their rematch produced split-decision scores of 117-112 and 115-113 for Moreno and 115-113 for Cermeno.
Elsewhere, Miguel Vazquez scored a unanimous decision against Ji Hoon to claim the vacant IBF lightweight crown in Texas.
The Mexican thoroughly deserved the clear 119-109, 120-108, 118-110 verdicts awarded by the three judges at ringside.
And WBO strawweight champion Donnie Nietes retained his belt on points with a 119-109, 118-110 and 116-112 victory over Mario Rodriguez in Mexico.
